Terms of Service

Welcome to Produce.so. These Terms of Service ("Terms") govern your use of the Produce.so platform, including our website, web application, and any associated services ("Services") provided by Produce.so ("Produce", "we", "our", "us").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our platform. These Terms constitute a legally binding agreement between you and Produce.so.

Produce.so is a video production platform that turns your own voiceover into a finished long-form video (up to 1080p) for YouTube. Our Services include, but are not limited to:

• Video rendering from your voiceover, with visuals from public niches or niches you train with your own media, captions, music and effects
• AI-assisted script writing, chapter titles and video descriptions
• Publishing finished videos to your connected YouTube channels (up to 3 per workspace) on the Pro and Scale plans
• Team workspaces, presets and a video library

You supply the voiceover: Produce does not generate voices. Rendering uses Export Hours from your plan (see section 8).

Our platform acts as a tool to facilitate the creation and upload of videos. You are responsible for all content you create, upload, and publish through our Services.

To use certain features of Produce.so, you must create an account. When creating an account, you agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of your account credentials
• Not share your account with others or allow unauthorized access
• Notify us immediately of any suspected unauthorized use of your account
• Be responsible for all activities that occur under your account

You must be at least 13 years of age to create an account. If you are under 18, you must have parental or guardian consent to use our Services.

We reserve the right to suspend or terminate your account if we determine that you have violated these Terms or applicable laws.

You can connect YouTube channels to publish finished videos from Produce. Depending on how a channel was connected, the connection and uploads are handled by our YouTube publishing service provider or by Produce directly; both connect to YouTube through Google's OAuth 2.0 and the YouTube Data API. By connecting a channel, you agree to the following:

Google and YouTube Terms

You must comply with Google's Terms of Service (https://www.google.com/terms/) and YouTube's Terms of Service (https://www.youtube.com/terms/) at all times. Our platform's YouTube integration is subject to the YouTube API Services Terms of Service (https://developers.google.com/youtube/terms/tos). In the event of a conflict between these Terms and Google's or YouTube's Terms, Google's and YouTube's Terms shall prevail with respect to YouTube API usage.

What We Access

When you connect a channel, the permissions needed to upload videos on your behalf and to read basic channel details are requested. Specifically:

• We store your channel's ID, name, handle and picture so we can show which channels are connected.
• Google access for the channel is held either by our YouTube publishing service provider or by Produce (encrypted), depending on how the channel was connected.
• Produce reads only your channel's name, picture, upload permissions and its recent upload titles, to avoid uploading a video twice.
• After an upload we store the YouTube video ID and link so you can open the published video.

What We Do Not Access

We do not access your YouTube analytics, audience data, comments, the content of your existing videos, or any other channel data beyond what is described above.

Upload Responsibility

All videos uploaded to YouTube through our platform are uploaded on your behalf using your authenticated YouTube account. You are fully responsible for the content of any video you upload, including ensuring that it complies with YouTube's Community Guidelines (https://www.youtube.com/howyoutubeworks/policies/community-guidelines/) and all applicable laws and regulations.

Disconnecting Your Account

You may disconnect a channel at any time from Linked Channels in Produce. Channels that are not used for 14 days are disconnected automatically (you are warned first and can keep them linked), and channels are released a few days after your plan ends. When a channel is disconnected, its access is released and Produce stops uploading to it; videos already on YouTube, including scheduled ones, stay there. You may also revoke access directly through your Google Account at myaccount.google.com.

By uploading, submitting, or generating content through Produce.so, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and process that content solely for the purpose of providing our Services. This license does not extend to selling, distributing, or using your content for any purpose beyond the operation of our platform.

You represent and warrant that:

• You own or have the necessary rights to any content you create or upload
• Your content does not infringe on the intellectual property rights of any third party
• Your content does not violate any applicable laws or regulations
• Your content complies with YouTube's Community Guidelines if uploaded to YouTube

We reserve the right to remove any content that we believe violates these Terms, YouTube's policies, or applicable laws, without prior notice.

You agree not to use Produce.so for any of the following purposes:

• Uploading content that violates YouTube's Community Guidelines or Terms of Service
• Creating or distributing malware, spam, or any harmful software
• Impersonating another person or entity
• Engaging in any fraudulent activity or misrepresentation
• Attempting to gain unauthorized access to our systems or any third-party systems
• Scraping, crawling, or bulk-extracting data from our platform without authorization
• Using our Services to engage in any illegal activity
• Circumventing any security measures implemented by Produce.so or Google
• Uploading copyrighted content without the permission of the copyright holder
• Using automated tools or bots to interact with our Services without authorization

Violation of these prohibitions may result in immediate termination of your account and access to our Services.

All intellectual property rights in the Produce.so platform, including but not limited to our software, logos, trademarks, and branding, are owned by Produce.so or its licensors. Nothing in these Terms grants you any rights to our intellectual property.

The videos you create using our tools are your intellectual property, subject to any third-party licenses or restrictions that may apply to the underlying AI models, assets, or tools used in the generation process. We will clearly communicate any such restrictions within the platform.

Produce does not offer a free tier. Access to the Services is granted by us under a plan agreed with you (for example as part of a coaching program), for the period and with the Export Hours set out in that agreement.

• Each render uses Export Hours equal to the length of the finished video, rounded up to the next whole minute. Hours are reserved when a render starts and are only used if the video is delivered; they are returned if the render fails or is cancelled before it finishes.
• Some features (for example Video Niches, auto captions, publishing to YouTube and rendering several videos at once) are only available on certain plans.
• Fees, refunds and access periods are as agreed when you buy access. We will give at least 30 days' notice of any change to the price of an ongoing plan.
• We may suspend access if your plan ends or fees agreed with us are not paid.

Produce.so is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, error-free, or free of viruses or other harmful components.

We do not guarantee that videos uploaded through our platform will remain accessible on YouTube, as YouTube reserves the right to remove content that violates its policies. We are not responsible for any actions taken by YouTube or Google regarding your uploaded content.

To the fullest extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, Produce.so shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of our Services.

Our total liability to you for any claims arising under these Terms shall not exceed the total amount paid by you to Produce.so in the 12 months preceding the claim, or $100 USD if no payment has been made.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you in full.

We may terminate or suspend your access to our Services at any time, with or without cause, and with or without notice, effective immediately. Grounds for termination include, but are not limited to, violation of these Terms.

Upon termination, your right to use our Services will immediately cease. If you wish to close your account, you can delete it in Account Settings or contact us at hello@produce.so. Upon account termination, we will delete your data in accordance with our Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Sydney, New South Wales, Australia.

If you are a consumer in a jurisdiction with mandatory consumer protection laws, those laws may supersede the governing law provisions above to the extent required.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to use our Services after any changes take effect, you agree to the revised Terms. If you do not agree to the new Terms, please discontinue using our Services.
